16. Shipping conditions. In addition to the other terms of sale, the following terms and conditions apply to the transport of goods by the Seller when the seller is meeting the buyer by delivering to the buyer or on behalf of the buyer the goods purchased by the buyer by the Seller. To the extent that the software and/or documentation are incorporated into a product, the sale of that product does not constitute the transfer of ownership or ownership of that software and/or documentation, and any reference to the “sale” or “sale” of software or documentation is considered a license. With the exception of the rights expressly granted in this section 3 with respect to software and documentation: (i) the seller and its suppliers retain all rights, Titles and interests, as well as all intellectual property rights on all software and documents made available to the purchaser or made available to the purchaser, and (ii) no other express or implied licenses, no rights or interest in or for patents, patent applications, copyrights, trade secrets, trademarks, trade names, service marks or other intellectual property rights are granted here. 1. Definitions. “buyer,” the unit to which the seller provides products or services under the contract. “contract” refers to either the contract signed by both parties or the order for the sale of products or services, signed by the buyer and accepted in writing by the Seller, accompanied by these General Terms, the Seller`s Final Offer, the agreed volume of work and the confirmation of the Seller`s order. In the event of a conflict, the terms and conditions of sale prevail over the other documents contained in the contract. “contract price,” the agreed price specified in the contract for the sale of goods and services, including adjustments (if any) in accordance with the contract.
“products,” equipment, parts, materials, supplies and other goods made available to the buyer by the seller as part of the contract. “seller,” the company that provides products or services under the contract. “Services” means that the services that the seller is willing to provide to the buyer as part of the contract. “Terms and Conditions” refers to these “Terms and Conditions for the Sale of Products or Services,” as well as any additional changes or provisions expressly indicated in the Seller`s final offer or expressly agreed in writing by the Seller. 2. Delivery and shipping conditions. (a) In the case of non-exportable shipments, the seller must deliver products to the F.O.B. Shipping point buyer. For export shipments, the seller delivers products to the buyer`s EXW seller`s facility or warehouse (Incoterms 2010).
The buyer must pay all delivery and delivery costs or pay the seller`s standard delivery fee, plus processing.
